Drillia Terms and Conditions
Version 1.5 | Effective 17 September 2026
1 About These Terms
These Terms and Conditions (the “Terms”) govern access to and use of the Drillia website, mobile applications and related services (the “Platform”). They form the contract between you and Drillia for use of the Platform. A confirmed coaching booking creates a separate service contract between the booking customer and the Coach identified at checkout. The Coach supplies the coaching service; Drillia acts as a disclosed intermediary in the name and for the account of that Coach when arranging the booking. Drillia supplies its own marketplace and booking service to the customer for the separate fee described in Section 9. For the customer payment, Drillia is the merchant of record and collects the total on its own Stripe platform account under Section 10, including the Coach price under the limited collection mandate. You accept these Terms through the acceptance process presented by the Platform. These allocations do not exclude any responsibility imposed on Drillia by mandatory law or applicable payment rules.
If you use Drillia on behalf of an academy or other organisation, you confirm that you have authority to bind that organisation to these Terms.
The cancellation rules in these Terms apply to bookings. Any additional contractual rules are made available before acceptance and incorporated only as expressly stated. The Privacy Policy explains personal-data processing; acknowledging it is not blanket consent to processing or a waiver of privacy rights.
2 About Drillia
The Platform is operated by Drillia Ventures Sàrl, Chemin de Martavaux 16c, 1260 Nyon, Switzerland. Swiss company identification number (UID): CHE-415.121.241.
Support: support@drillia.ai. Privacy: privacy@drillia.ai.
Drillia is a technology and basketball development platform. It facilitates discovery, communication, booking, payment and development-related tools between users. Except where Drillia expressly provides a service itself, Drillia is not the provider of independent coaching services.
3 User Roles
The Platform supports Player, Coach, Parent/Guardian and Academy accounts. At launch, paid bookings are limited to individuals acting as consumers who book permitted basketball or sports coaching, in person or live online. The booking customer for a participant under 18 is the parent or legal guardian. Business-to-business bookings and educational, therapeutic, professional or other regulated services outside the permitted sports-coaching scope are unavailable. A Coach or Academy offering services for a trade, business, craft or profession is a “Business User” and must declare trader status accurately. Where a Coach acts as a non-trader, the checkout identifies that status and explains that consumer rights governing purchases from traders do not apply to that coaching contract; your rights against Drillia for its own service remain unaffected.
Each account currently represents one role. A person wishing to use another role may need a separate account.
You must provide accurate information and keep your account information reasonably up to date.
Paid booking availability depends on the session format and country, customer location, Coach eligibility and the applicable market requirements. Account creation, discovery, an available language or a visible profile does not mean paid bookings are available in a country. Unavailable combinations cannot be booked through another account type or a false address. Academies may receive an agreed share of Coach proceeds but do not purchase sessions as business customers at launch; the checkout must still identify the actual coaching supplier.
4 Eligibility and Young Users
Adults aged 18 or over may create and manage their own accounts, subject to applicable law.
Users under 18 may access Drillia only through the age-appropriate structure made available by the Platform and with the involvement of a parent or legal guardian required by applicable law. The parent or guardian must have authority to act for the young user and is the contracting customer for all bookings and payments made for a participant under 18 at launch.
Under 16: the parent/guardian manages protected actions. A young player may have limited access to development information, but may not independently message coaches, make bookings or make payments.
Age 16–17: users cannot independently book, pay or message Coaches. These protected actions are routed through the parent or guardian. Access may be narrowed where local law or a safety assessment requires it.
Age is checked from the date of birth recorded on the account when protected functionality is used. When a user reaches 18, the age-based restrictions cease and the former parent link is cleared. Permissions based only on the user’s minority do not continue over the adult account. Before independently booking, paying or initiating protected Coach messaging, the adult user must accept the then-current Terms. The current Privacy Policy is presented separately; its acknowledgement is not general consent to processing. Contact support@drillia.ai if the recorded age or account permissions are incorrect.
Drillia may apply additional or different safeguards where required by applicable law.
For young users: until you turn 18, a parent or guardian handles bookings, payments and protected messages to Coaches. Give accurate account information, respect other users and use Report or Block if you feel unsafe. Tell a trusted adult about a concern; contact emergency services in an emergency. Turning 18 ends the old parent link, and you must accept the current Terms before using protected functions independently. This summary helps explain the rules and does not replace the Terms.
5 Accounts and Security
You are responsible for keeping account credentials confidential and for activity performed through your account, except where applicable law provides otherwise.
You must promptly notify Drillia if you suspect unauthorised access or misuse.
You may not create duplicate or misleading accounts to manipulate reviews, promotions, suspensions or platform controls.
Drillia may require email, OTP, identity or other verification measures where reasonably necessary for security, legal compliance or platform integrity.
6 Coach Status and Independent Services
Coaches using Drillia act as independent service providers. These Terms do not create employment, partnership or a joint venture between Drillia and a Coach. The limited disclosed agency, collection and document-issuing mandate in Sections 8 to 11 is the exception to the absence of a general agency relationship; it does not authorise Drillia to supply coaching in its own name or direct the Coach’s sporting methods.
Coaches determine their own prices, availability, coaching methods and service content, subject to applicable law and Platform rules.
Each coach is responsible for ensuring that they are legally entitled to provide their services and comply with any applicable professional, licensing, tax, insurance, safeguarding and other legal requirements.
Before offering paid sessions, a Coach must complete the required identity and payment onboarding and provide accurate legal or trading name, geographic address, email, telephone number, trader status, establishment country, tax status and applicable registration details. The Coach must keep these current and provide evidence requested for a permitted market or tax-reporting obligation. Unless a verified badge expressly states otherwise, Drillia does not verify qualifications, licences, insurance, criminal record or professional experience. Profile publication is not an endorsement or safeguarding clearance.
7 Contact and Messaging
Players or parents/guardians generally initiate contact with coaches. A private conversation opens only if the coach accepts the contact request.
For all users under 18, including those aged 16–17, independent Coach messaging is disabled and the protected communication is routed through the parent or guardian. Drillia does not offer disappearing messages, and users must not move conversations with a minor off-platform to avoid safeguards.
Drillia may support group chats for group sessions and coach/academy communication groups.
Users must not use messaging for harassment, grooming, illegal activity, unsolicited mass marketing, abusive conduct or other purposes inconsistent with the safety and integrity of the Platform.
Drillia provides reporting and blocking mechanisms and may access or preserve communications only where permitted and reasonably necessary to investigate a report, enforce these Terms, protect users or comply with law. Drillia does not generally monitor private messages and does not undertake a general obligation to do so.
8 Booking Formation
A contact request or discussion does not itself create a confirmed coaching booking.
A booking becomes confirmed when the Coach accepts and payment is successfully captured. A payment authorisation or pending request alone is not confirmation. Drillia sends the customer an electronic confirmation identifying the Coach as supplier of the coaching service, Drillia as supplier of the separate booking service, and the price and conditions accepted. The confirmation is provided by email or another durable medium that the customer can retain unchanged.
Before you order, the checkout identifies the Coach, trader or non-trader status, date and time, session format and venue or online delivery details, price and currency, separate Drillia fee, applicable taxes, total payable, cancellation rules and any withdrawal information. It also identifies Drillia as the merchant of record for the customer payment, explains each party’s responsibilities and allows input errors to be corrected. Selecting “Book and pay”, or equivalent wording, places an order with an obligation to pay if the Coach accepts and payment succeeds.
Customers must give accurate billing and location information. For in-person sessions, the confirmed venue country determines the session location. For live-online sessions, Drillia compares billing country and payment-instrument country and may hold the request for review if they conflict. IP location is an additional fraud or consistency signal, not the sole basis for determining location. A change in venue country or relevant customer information may require a corrected quote and renewed confirmation before payment proceeds.
Confirmed bookings are subject to the price and conditions displayed at the time of confirmation, even if the coach later changes their price.
Pending requests may expire after the period communicated in the booking flow, including approximately 72 hours where shown, and cannot extend the payment provider’s authorisation validity period. If a request is declined or expires, Drillia cancels any uncaptured authorisation; if money has already been captured without a confirmed booking, the customer receives a full refund, including the Drillia fee. An expired authorisation may require a new payment request before a booking can be confirmed. A bank may take additional time to remove a cancelled or expired authorisation from the customer’s available balance.
9 Prices and Drillia Fees
Coaches set their gross consumer prices, including any VAT or other tax applicable to their coaching service. Drillia adds a separate fee of 8% of that gross Coach price, inclusive of any VAT applicable to Drillia’s own fee. A EUR 50.00 Coach price therefore gives a EUR 4.00 Drillia fee and a EUR 54.00 total; applicable VAT is included within those amounts, not added on top. Currency rounding is shown at checkout. A Coach’s exemption or non-taxable status does not determine the VAT treatment of Drillia’s separate fee.
The checkout and confirmation show the Coach price, Drillia fee and total in the stated currency, with applicable tax information allocated to the relevant service. No amount beyond the displayed total is charged without the customer’s express agreement. Each supplier remains responsible for its own tax obligations. Drillia’s administration of payments or documents does not transfer the Coach’s own registration, reporting or payment duties to Drillia.
A receipt or invoice identifies the Coach as supplier of the coaching service and Drillia as supplier of its separate fee. It also identifies Drillia as the merchant of record receiving the total customer payment. The Coach authorises Drillia to generate coaching receipts, invoices and credit notes in the Coach’s name and on the Coach’s behalf where legally permitted. Drillia issues documents for its own fee in its own name. One combined document may be used if the two suppliers and amounts are clearly separated. This authority is not a purchase of the coaching service by Drillia or a self-billing arrangement. Each supplier’s applicable tax identifier and no-VAT explanation relate only to that supplier’s line, subject to any overriding legal requirement.
Drillia may offer promotions or waive/reduce its own fee. A Drillia-funded promotion will not reduce the coach’s agreed earnings unless the coach has expressly agreed to participate.
Coaches may be permitted to create their own promotions in future versions of the Platform.
Drillia may introduce reasonable price parameters or limits in the future and will communicate any material changes in accordance with applicable law.
10 Payments and Stripe Connect
Payments are processed through Stripe Connect using separate charges and transfers. The customer is charged on Drillia’s Stripe platform account. Drillia is the merchant of record for that payment and is responsible for administering the charge, refunds and payment disputes. The statement descriptor is set to DRILLIA; the precise presentation may vary by bank or payment method. The Coach appoints Drillia as its limited collection agent for the Coach price. Successful payment to Drillia discharges the customer’s corresponding payment obligation to the Coach, subject to a lawful reversal of that payment. The Coach must not demand a second payment because a transfer or bank payout is delayed. The coaching service contract and Drillia’s separate booking service are described in Sections 1 and 9; neither allocation limits Drillia’s mandatory responsibilities to the customer.
Drillia stores payment-provider identifiers and transaction, tax, refund and payout records needed to operate the marketplace. Full card details are processed by Stripe; Drillia does not require users to send card or bank credentials by messaging or support channels. Further information is in the Privacy Policy.
For card payments, the total is authorised when the customer submits the payment request and captured only when the Coach accepts. Before capture, Drillia can maintain the authorisation within its validity period or cancel it. Once captured, the payment is credited to Drillia’s Stripe balance, subject to Stripe’s fees and funds-availability rules. The Coach share, any Academy share and Drillia’s fee are accounted for separately; Stripe does not automatically divide the customer charge between them.
Drillia initiates a separate transfer of the Coach’s agreed share to the Coach’s Stripe Connect Express account after the session is marked complete, normally approximately one hour later. An agreed Academy share is handled through a second separate transfer under the accepted Coach and Academy allocation arrangements. Transfers depend on available funds, completed onboarding, a supported account and country configuration, and the holds and adjustments described below. The approximate release time is not a guarantee of receipt in a bank account.
Before a transfer, Drillia controls its timing, amount and recipient and can delay, partially release, withhold or redirect funds. Drillia may exercise those controls only to fulfil the agreed allocation, correct an error, handle a refund or dispute, address reasonably suspected fraud, or comply with law or payment-provider requirements. Technical control does not give Drillia a right to divert proceeds to an unrelated recipient or retain them without a contractual or legal basis. Holds must be proportionate and reviewed while they remain necessary; Drillia explains a material hold and its resolution requirements unless legally restricted from doing so.
After transfer to a Coach’s Express balance, the subsequent bank payout follows Stripe’s standard automatic schedule for the relevant account country, subject to funds availability, verification, provider restrictions and bank processing. Under the current arrangement, Drillia does not initiate or set the timing of that subsequent bank payout. A transfer into an Express account and a payout to a bank account are different steps. Amounts awaiting transfer are not represented as held in an insolvency-protected escrow account.
Coaches must complete the required Stripe Connect Express onboarding and accept the connected-account or recipient terms presented for their actual account and country. These accounts receive transfers under the current arrangement and do not process the customer card charge. Payment and payout services are available only for accounts and countries supported by Stripe. Drillia provides platform support at support@drillia.ai; Stripe’s role and any direct support available depend on the accepted agreement.
Under the current Connect configuration, Drillia is responsible to Stripe for the relevant payment-processing fees and negative balances, and Stripe debits customer refunds and disputes from Drillia’s platform balance. This allocation does not automatically make every cost or loss a Coach or Academy debt. Drillia does not deduct its separate customer booking fee again from the agreed Coach price. Any other deduction from Coach or Academy proceeds requires an applicable legal basis or a clearly disclosed, accepted allocation. Payment failures, fraud reviews, provider restrictions and bank processing may delay a transaction or payout; Drillia will communicate material account restrictions where required.
Drillia executes full or partial customer refunds and separately initiates a proportionate reversal of any Coach transfer relating to the refunded amount. A permanently lost chargeback triggers recovery through reversal of the relevant Coach transfer and, where an accepted Academy arrangement authorises it, the relevant Academy transfer. Each adjustment is limited to the proceeds attributable to that recipient and the affected booking, together with any additional liability separately and validly agreed. A refund does not by itself reverse a separate transfer, and transfer reversal is subject to Stripe’s technical and balance requirements.
Where proceeds have already been transferred or paid out and reversal is unavailable or insufficient, Drillia may request repayment or lawfully offset the amount against future sums due, subject to applicable law and the accepted payout terms. Drillia provides the booking reference, basis and calculation and an opportunity to raise an error or request human review. Recovery may be initiated through the configured refund or dispute workflow or handled manually where reconciliation or an unsuccessful reversal requires it. These Terms do not give Drillia an unrestricted right to debit a Coach’s or Academy’s external bank account.
A temporary dispute does not itself establish a final Coach or Academy debt. Won or reinstated charges are restored, including any corresponding provisional adjustment; a partial permanent reversal affects only the corresponding amount. Drillia prevents duplicate recovery and corrects an adjustment when the underlying dispute outcome changes. An Academy’s recovery obligations must be accepted by that Academy under these Terms or its separate allocation agreement; a Coach’s acceptance alone does not authorise recovery from an Academy. Any change to the underlying recovery rights or material payment terms follows Section 26.
Contact support@drillia.ai promptly about a disputed or unauthorised payment. Drillia administers refunds to the original payment method unless another lawful method is agreed, without reducing mandatory payment or chargeback rights. A customer refund or legally due remedy is not conditional on Drillia first recovering money from the Coach or Academy. A transfer reversal or subsequent bank payout does not change the customer’s refund entitlement.
11 Cancellation and No Show Policy
Customer cancellation more than 24 hours before the scheduled start: a full refund of the Coach price and Drillia fee, including any taxes paid, is due under the booking policy.
Customer cancellation 24 hours or less before the scheduled start: no automatic contractual refund, subject to mandatory law. The Coach may authorise a voluntary full or partial refund. A full booking refund includes the Drillia fee; any partial refund must specify the amounts returned for the Coach service and Drillia fee before it is processed. No discretionary partial refund limits a greater entitlement under law or these Terms.
Customer no-show: no automatic contractual refund, subject to mandatory rights and any refund authorised under this Section. Where law requires an assessment of actual loss or mitigation, retained amounts must be reduced accordingly; this policy does not impose an irrebuttable entitlement to the full price.
Coach cancellation at any time, including within two hours of the session, or Coach non-attendance: a full refund of the Coach price and Drillia fee, including any taxes paid. A substitute or rescheduled session may be agreed by the customer but is not imposed instead of a refund.
Statutory withdrawal and consumer remedies take priority over the contractual cancellation rules. A qualifying leisure-service booking for a specific date or period may be exempt from the EU statutory withdrawal right; the applicable position is stated before payment. This exception is not automatically extended to Drillia’s separately supplied booking service. Appendix A explains the withdrawal process where a statutory right applies. Mandatory remedies for non-performance, defective services, unfair charges and unauthorised payments remain available.
Coach cancellation less than 2 hours before the session is a Late Cancellation. First incident: warning. Second incident: warning. Third Late Cancellation within a six-month period: Drillia may impose a 7-day account suspension.
A Coach no-show may also be treated as a Late Cancellation for the warning and suspension process. The customer receives the full refund described above regardless of whether the Coach has previously received a warning.
By accepting these Terms and the booking policy, the Coach gives Drillia standing authority to implement refunds required by the accepted policy or applicable law. Fresh Coach approval is not required for those refunds. The Coach may separately authorise voluntary refunds, and Drillia may address fraud, safeguarding and payment disputes within its lawful platform powers. Drillia records the basis, amount and timing of a refund. The rules accepted for a booking are not changed retroactively to reduce an accrued refund right.
12 Sessions and Safety
Independent coaches, not Drillia, are responsible for the sporting content, coaching decisions and supervision within the services they provide.
Coaches are responsible for selecting exercises and methods appropriate to the participant and complying with applicable safety, safeguarding and professional obligations.
Players and parents/guardians are responsible for making reasonable participation decisions and communicating information relevant to safe participation where appropriate.
Users must not place medical diagnoses, injury records or other health information in free-text fields unless Drillia has expressly enabled a safeguarded health-data feature and provided the required notice and consent mechanism. In an emergency, contact local emergency services; Drillia is not an emergency service.
Drillia does not guarantee that any session, coach, facility, exercise or programme is appropriate for a particular user and does not guarantee injury prevention or sporting results.
13 Reviews and Feedback
Only users linked to a completed booking may submit a marketplace review relating to that booking.
The launch rating model may consist of a 1–5 global rating and optional written comment.
Reviews must reflect genuine experiences and must not contain unlawful, abusive, discriminatory, defamatory, fraudulent or privacy-infringing content.
Drillia will not remove a review merely because it is negative, but may moderate or remove content that breaches these Terms, applicable law or Community Guidelines.
Where supported, a coach may be permitted to respond to a review.
14 User Content
Users retain ownership of content they upload or create on Drillia, including profile content, messages, photos, videos, evaluations and other materials, subject to rights held by other people appearing in or contributing to that content.
By uploading content, you grant Drillia a non-exclusive, worldwide licence to host, store, reproduce, technically process, display and transmit that content to the extent reasonably necessary to provide, secure and operate the Platform.
You may upload content only if you own it or have the rights and permissions required to upload and share it. If content identifies other individuals, you are responsible for having the required permissions, including parental/guardian permissions where applicable.
Drillia may remove or restrict content that violates law, these Terms, another person’s rights or Platform safety requirements.
Identifiable user content will not be used for marketing outside the normal operation of the Platform without the permissions/consents required by applicable law.
Future use of user-generated content to train or improve AI models will be handled under separate transparency/consent controls where required and is not part of the current launch processing.
15 Development Records
Drillia may organise sessions, goals, evaluations, feedback, achievements, media and other information into a longitudinal development history for the athlete.
The athlete is the person to whom the development data primarily relates. Drillia determines access to that data as controller for Platform functionality, subject to applicable law, the Privacy Policy, age-appropriate permissions and the rights of other people. Coaches, parents and academies do not acquire ownership of the athlete’s overall history by contributing information.
Users may exercise applicable access and portability rights through privacy@drillia.ai, including while product export tools are being developed. These rights are subject to applicable law and the rights of other people; the absence of an in-product export tool does not suspend a statutory right.
16 Acceptable Use and Community Safety
Users must act respectfully and must not engage in fraud, impersonation, harassment, grooming, threats, discrimination, illegal activity, abusive communication, spam, exploitation of minors or other conduct that undermines safety, trust or integrity.
Users must not misuse Platform reporting, payment, messaging, promotional or review systems.
Safety concerns involving minors may result in immediate temporary restriction while Drillia reviews the situation.
Drillia may preserve evidence and make reports to competent authorities where legally required or reasonably necessary to protect life or safety, subject to applicable law.
17 Marketplace Integrity and Circumvention
Users must not deliberately use Drillia to identify or contact a Coach and then arrange substantially the same paid service outside the Platform principally to evade the Platform fee during the 12 months after the first Platform contact. This restriction does not apply to a demonstrably pre-existing relationship, unrelated services, or contact initiated independently of Drillia, and will be enforced proportionately.
Enforcement will generally rely on credible reports or evidence rather than proactive monitoring.
Repeated or deliberate circumvention may lead to warnings, temporary restrictions or termination, subject to applicable legal requirements and any business-user protections that apply.
For Business Users, this restriction is based on Drillia’s investment in discovery, payments, support and trust infrastructure. Drillia does not proactively inspect private messages for circumvention; enforcement relies on reports or other lawfully obtained evidence and follows Section 19 and Appendix B.
18 Ranking and Discovery
Organic search and recommendation results primarily use, in approximate order of relative importance: match to the user’s search and location; availability; profile completeness; completed sessions and verified booking reviews; response behaviour; and cancellation/no-show history. New Coaches may receive a temporary visibility boost. These parameters support relevant and reliable results and do not guarantee qualifications or safety.
Organic ranking is not purchasable at launch. Drillia will clearly label and explain any future paid or sponsored placement before activation. Material ranking changes affecting Business Users will be explained through the Business User notice process.
19 Reporting Moderation Suspension and Termination
Users may report conduct or content through the in-product Report function or support@drillia.ai and may use the Block function. An in-product report sends an immediate alert to the Support inbox for review. These channels are not emergency services.
Drillia may investigate reports and take proportionate measures including warnings, content restrictions, temporary suspension and account termination.
Drillia may act immediately where reasonably necessary to address fraud, child-safety concerns, serious harassment, illegal activity, impersonation or material threats to safety or Platform integrity.
Where required by the Digital Services Act, Drillia provides an electronic notice-and-action mechanism, informs the reporting person of its decision, gives affected users a statement of reasons, and notifies competent authorities of qualifying suspicions of serious criminal offences involving a threat to life or safety.
Digital Services Act authority and user contact point: support@drillia.ai. Users may communicate in English and are not required to rely exclusively on an automated tool.
Drillia Ventures Sàrl has designated Prighter DSA GmbH as its EU legal representative under Article 13 of the Digital Services Act. Prighter DSA GmbH serves as the addressee for competent authorities in the Member States and the European Union on matters relating to the DSA. Postal address: Schellinggasse 3/10, 1010 Vienna, Austria. Telephone: +43 1 997 41 24. Email: support@prighter.com. Public contact information is available by selecting “DSA Rep” at https://app.prighter.com/portal/18429329258. Please quote ID-18429329258 in correspondence.
Low ratings alone do not automatically justify termination. Persistent conduct that materially undermines trust or safety may justify restrictions after reasonable review.
Users may submit a sufficiently precise report of suspected illegal content or conduct through the designated reporting channel. Drillia will process reports diligently and objectively and, where required, give the affected user a clear statement of reasons for a restriction. Business User restrictions and terminations also follow Appendix B.
20 Disputes
Drillia may facilitate disputes relating to bookings, payments, cancellations and compliance with Platform rules.
Drillia is not an arbitrator of sporting quality, coaching philosophy or subjective athletic outcomes.
Where a Platform-policy or payment decision is required, Drillia may review information reasonably available to it and make a good-faith decision, without guaranteeing that all disputed facts can be independently verified.
Nothing in this section limits rights that cannot lawfully be excluded.
21 Third Party Services
Drillia relies on AWS for production infrastructure, Firebase Authentication / Google authentication and Sign in with Apple for authentication, FCM for push notifications, Google Calendar for online-session invitations and Meet links, Azure Translator for application/interface localisation, and Stripe for payments. No analytics, advertising or crash-reporting SDK is active in the production app. The public website is hosted through Framer and uses its built-in aggregate analytics as described in the Privacy Policy.
Availability of those services may affect Platform functionality. Where applicable, third-party terms also govern the user’s direct relationship with the provider.
Drillia remains responsible for its own obligations under applicable data-protection and consumer laws.
22 Intellectual Property
Drillia and its licensors retain all rights in the Platform, software, source code, brand, logos, designs, original documentation, algorithms, databases and other proprietary materials, excluding user-owned content and third-party materials.
Except as expressly permitted, users may not copy, reverse engineer, resell, scrape, commercially exploit or create derivative services from protected Platform materials.
Nothing in these Terms transfers ownership of Drillia intellectual property to users.
23 Platform Availability and Beta Features
Drillia aims to provide a reliable service but does not guarantee uninterrupted or error-free availability. Maintenance, updates, infrastructure incidents, security events or third-party outages may temporarily affect the Platform.
Experimental or beta features may be changed, suspended or withdrawn. Drillia will use reasonable transparency where beta functionality materially affects users.
24 Disclaimer
Drillia provides technology that supports basketball development and marketplace interactions. Drillia does not guarantee sporting success, team selection, professional advancement, performance improvement, injury prevention or any specific outcome.
Information, development tools and future AI-generated outputs are not medical advice and do not replace the judgement of qualified coaches, healthcare professionals, parents or athletes.
25 Limitation of Liability
To the maximum extent permitted by applicable law, Drillia is not liable for indirect or consequential loss that was not reasonably foreseeable when the contract was formed. This exclusion does not apply where mandatory law provides otherwise.
Drillia is not the provider of independent coaching services and is not liable for a Coach’s sporting acts or omissions merely because a session was arranged through the Platform. Drillia remains responsible for its own acts, omissions and non-excludable legal duties.
Nothing in these Terms excludes or limits liability for wilful misconduct or gross negligence; death or personal injury caused by negligence where such liability cannot be excluded; fraud; or any mandatory consumer, data-protection, product-safety or other non-excludable right.
26 Changes to the Platform and Terms
Drillia may update the Platform and these Terms for changes in law, security, functionality or its operating model. Changes must be proportionate and must not retroactively alter confirmed bookings or accrued rights. Where mandatory law requires a valid contractual reason, advance information or a right to terminate because a change adversely affects access or use, Drillia will provide those protections.
Material changes will be notified on a durable medium before they take effect. Changes that must be accepted will not bind a user merely because the user continues to use the Platform where express acceptance is legally required.
For EU-facing Business Users, Drillia will generally provide at least 15 days’ prior notice of proposed changes, explain the changes on a durable medium and allow termination before they take effect. A longer period will be given where reasonably necessary for technical or commercial adaptation. Legally permitted urgent changes may take effect sooner with an explanation.
Continued use after an effective date constitutes acceptance only to the extent legally valid.
27 Account Deletion and Data Consequences
Users may request account deletion through the functionality or support channels made available by Drillia.
Account deletion hard-deletes media from active S3 storage where no separate lawful retention requirement applies, deletes goals and development data, and de-identifies the account record. Minimum shared booking, payment and other participant records may remain only where necessary for legal, contractual, dispute or safeguarding purposes. Messages and reviews are subject to their specific retention and redaction rules in the Privacy Policy. De-identifying an account does not make all associated content anonymous or authorise indefinite retention.
Deletion and retention are governed by the published Privacy Policy and Drillia’s approved retention schedule. Account closure does not cancel outstanding bookings, payment obligations, dispute handling or lawfully retained safety and accounting records.
28 Governing Law and Jurisdiction
These Terms and the Platform relationship are governed by Swiss law. For an EU consumer, this choice does not deprive the consumer of mandatory protections of the country of habitual residence that apply despite this choice.
The courts at Drillia’s registered office in the Canton of Vaud have jurisdiction, subject to mandatory rules. An EU consumer may bring proceedings in the courts of the consumer’s place of domicile and may be sued only in those courts where mandatory consumer-jurisdiction rules so provide.
29 Contact
General support and complaints: support@drillia.ai.
Privacy requests: privacy@drillia.ai.
Drillia encourages users to contact it first so that concerns can be reviewed and, where possible, resolved efficiently.
Illegal-content reports and Digital Services Act enquiries: support@drillia.ai or the in-product reporting channel. Include enough detail to identify the content, its location and the reasons you consider it unlawful, and contact details where required for a response. The EU legal representative’s details appear in Section 19.
Appendix A Cancellation and withdrawal information
Section 11 states the contractual cancellation rules. The checkout and durable booking confirmation identify the version applicable to the booking and explain any statutory withdrawal right or qualifying exception. A cancellation request can be submitted through the booking flow or support@drillia.ai.
Where EU law gives you a withdrawal right for a service contract, you may withdraw without giving a reason within 14 days from conclusion of that contract. To exercise it, notify the relevant supplier by an unequivocal statement before the period expires. For Drillia’s service use support@drillia.ai or Drillia’s postal address in Section 2. For the Coach service use the Coach contact details in your confirmation or send the notice to Drillia at the same support address; the Coach authorises Drillia to receive it on the Coach’s behalf.
Where required for a contract concluded through an online interface, you may also use the clearly accessible “Withdraw from contract” function in the relevant booking or order details and then confirm the withdrawal. Drillia acknowledges an electronic withdrawal on a durable medium, including its content and the date and time received. This option does not prevent withdrawal by another unequivocal statement.
The relevant supplier reimburses the payments due on withdrawal without undue delay and no later than 14 days after notice, using the original payment method unless you expressly agree otherwise and without a reimbursement fee. If you expressly requested service to begin during the withdrawal period and received the legally required information, a proportionate charge may be due for service actually supplied before withdrawal. A withdrawal right is lost through full service performance only where the applicable requirements for prior express consent and acknowledgement have been met. Authorising or capturing a card payment does not alone establish full performance.
Optional withdrawal form: To [Coach name and address from the booking confirmation, or Drillia Ventures Sàrl at the address in Section 2; notices may also be sent to support@drillia.ai]. I/We hereby give notice that I/We withdraw from my/our contract for the following service: [service and booking reference]. Ordered on: [date]. Consumer name and address: [details]. Date: [date]. Signature: [only if sent on paper]. Delete whichever does not apply. Use of this form is optional.
Appendix B Business User supplement for Coaches and Academies
Scope. This Appendix applies to a Coach or Academy established in the EU that offers coaching services through Drillia to consumers located in the EU, and to any other Business User covered by mandatory platform-to-business law.
Pre-contract access and identity. These Terms are available before registration. A Business User must provide accurate trader identity and contact details and authorises their display to customers where required. Drillia may verify the information before listings are activated.
Restrictions, suspension and termination. Drillia states the specific grounds relied on. For restrictions or suspension it gives reasons on or before the measure; for full termination it gives reasons at least 30 days before termination unless a legal exception permits immediate action. The Business User may clarify facts through the complaint channel.
Changes. Section 26 applies. Business Users may terminate before a notified change takes effect. Drillia will not impose retroactive changes except where legally permitted.
Ranking. Section 18 describes the main ranking parameters and their relative importance. No direct or indirect remuneration influences organic ranking at launch.
Data access. During use, a Business User can access its own profile, availability, bookings, messages, payout and tax records, and development data made available through its account permissions. Drillia accesses Platform data for operation, safety, support and legal compliance as explained in the Privacy Policy. Other Business Users do not receive a Business User’s non-public data except where needed for an authorised transaction or feature. After closure, account access may cease; the Business User may request its transaction records through support, subject to lawful retention, privacy and third-party rights. Personal-data rights remain available under the Privacy Policy.
Differentiated treatment and ancillary services. Drillia’s own offers, if introduced, and any differentiated access, ranking, data or fee treatment will be disclosed here before activation. Stripe payment processing and Platform messaging are ancillary to the marketplace; their relevant terms, fees and access conditions are disclosed in the payment and product flow.
Complaints and mediation. Complaints may be sent to support@drillia.ai. Drillia will investigate proportionately and communicate an outcome. If Drillia qualifies as a small enterprise, the P2B duties to maintain a specified internal complaint system and identify mediators do not apply; Drillia nevertheless maintains this complaint channel as good practice.
Termination by Business User. A Business User may stop offering new services and request account closure, subject to completing or cancelling outstanding bookings, payments, refunds and dispute obligations. Clauses that by their nature survive termination remain in effect.
